1. Acceptance of Terms
By accessing or using CargoFlow ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
These Terms constitute a legally binding agreement between you and [Company name to be added] ("CargoFlow", "we", "us").
2. Platform Description
CargoFlow is a freight exchange marketplace that connects shippers (customers) with carriers for road freight transportation across Europe. We provide:
- Load posting and browsing
- Carrier verification services
- Bidding and negotiation tools
- Transport management features
- Rating and trust systems
CargoFlow is an intermediary platform. We do not provide transportation services, act as a freight broker, or assume responsibility for the actual carriage of goods.
3. User Accounts
3.1 Registration
To use CargoFlow, you must register an account and provide accurate, complete information. You may register as:
- Carrier: Company providing freight transportation services
- Shipper (Customer): Company or individual needing cargo transported
3.2 Verification Requirements
Carriers must complete verification by providing:
- Valid trade register extract
- Transport license (where required)
- Liability insurance certificate
- CMR insurance documentation
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. Notify us immediately of any unauthorized access.
4. User Responsibilities
4.1 General Obligations
Users agree to:
- Provide accurate and truthful information
- Maintain valid licenses, insurance, and authorizations
- Comply with all applicable laws and transport regulations
- Use the Platform in good faith
- Not engage in fraudulent, deceptive, or illegal activities
4.2 Carrier Obligations
Carriers additionally agree to:
- Provide transportation services as agreed with shippers
- Maintain valid transport authorization and insurance
- Operate roadworthy vehicles with qualified drivers
- Comply with driving time and rest regulations
- Handle cargo with due care
4.3 Shipper Obligations
Shippers additionally agree to:
- Provide accurate cargo information (weight, dimensions, nature)
- Ensure cargo is properly packaged and labeled
- Disclose hazardous or special goods
- Pay agreed transport fees timely
- Provide reasonable loading/unloading access
5. Transport Agreements
Transport contracts are formed directly between shippers and carriers. CargoFlow facilitates introductions but is not a party to transport contracts. The terms of each transport (price, conditions, liability) are agreed between the parties.
International road transport may be subject to the CMR Convention (Convention on the Contract for the International Carriage of Goods by Road).
6. Fees and Payment
6.1 Platform Fees
CargoFlow charges subscription fees and/or transaction fees as published on our pricing page. Fees are subject to change with 30 days notice.
6.2 Payment Between Users
Payment for transport services is arranged directly between shippers and carriers. CargoFlow may provide payment facilitation tools but does not guarantee payment.
7. Ratings and Reviews
Users may rate and review each other after completed transports. Ratings must be:
- Based on genuine transaction experience
- Accurate and fair
- Not defamatory, abusive, or fraudulent
CargoFlow may remove reviews that violate these standards.
8. Prohibited Activities
Users may not:
- Post false, misleading, or fraudulent content
- Circumvent Platform fees or verification
- Scrape, harvest, or collect user data
- Interfere with Platform security or operations
- Use bots, scripts, or automated tools without authorization
- Spam or solicit users outside agreed transactions
- Engage in price fixing or anticompetitive behavior
- Transport illegal or prohibited goods
9. Intellectual Property
CargoFlow and its content (logos, design, software, text) are protected by copyright and trademark laws. Users retain rights to content they upload but grant CargoFlow a license to display and use it for Platform operations.
10. Limitation of Liability
CargoFlow is a marketplace platform. To the maximum extent permitted by law:
- We do not guarantee the performance, reliability, or conduct of any user
- We are not liable for cargo loss, damage, delay, or theft during transport
- We are not liable for payment disputes between users
- Our total liability is limited to fees paid to us in the 12 months preceding a claim
This does not exclude liability for fraud, gross negligence, or matters that cannot be limited by law.
11. Indemnification
You agree to indemnify and hold CargoFlow harmless from claims, damages, or costs arising from your use of the Platform, your content, or your violation of these Terms.
12. Termination
Either party may terminate the account relationship at any time. CargoFlow may suspend or terminate accounts for Terms violations, fraudulent activity, or inactivity.
Upon termination, obligations related to completed transactions, pending payments, and confidentiality survive.
13. Dispute Resolution
Disputes between users should be resolved directly between the parties. CargoFlow may offer mediation but is not obligated to resolve user disputes.
Disputes with CargoFlow are subject to Romanian law and the exclusive jurisdiction of courts in Brașov, Romania.
14. Modifications
We may modify these Terms at any time. Material changes will be notified via email or Platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
15. Severability
If any provision is found unenforceable, remaining provisions continue in effect.
16. Governing Law
These Terms are governed by the laws of Romania, without regard to conflict of law principles.
